The domain grab2grow.com (hereinafter referred to as “Platform / Website”) is owned by Grab2Grow Online Marketplace Pvt. Ltd. (“G2G / Grab2Grow”).

These terms constitute a binding agreement between you (Affiliate / Partner) and Grab2Grow.

This document is an electronic record under the Information Technology Act, 2000 and does not require physical or digital signatures.

Your usage of the affiliate system at:
https://grab2grow.com/affiliate
constitutes full acceptance of these terms.

DEFINITIONS

1.1 “Applicable Law”
Means laws of India and all regulatory frameworks applicable to digital commerce and affiliate operations.

1.2 “Services”
Means promotional, marketing, lead-generation, referral traffic and conversion-driven services performed by the Affiliate for Grab2Grow, as described in Annexure I.

1.3 “Intellectual Property”
Shall mean Grab2Grow’s brand elements including:

  • business strategies
  • product data
  • market insights
  • creative assets
  • technology
  • branding elements
  • trademarks
  • affiliate tools
  • marketing materials
  • analytics
  • databases

1.4 “Intellectual Property Rights”
Means all rights and ownership over Grab2Grow Intellectual Property as per Indian and International IP regulations.

1.5 “Person”
Means any individual or entity recognized by law.

2. DESCRIPTION OF AFFILIATE SERVICES

Once approved as an Affiliate, you may engage in the following activities:
✔ Promotion of Grab2Grow
✔ Social media promotion
✔ Referral traffic
✔ Link sharing
✔ Influencer promotions
✔ Product recommendation links
✔ Marketplace referral onboarding

3. GRAB2GROW DISCRETION

Grab2Grow reserves the right to:

  • decline affiliate applications
  • restrict platform access
  • suspend affiliate earnings
  • terminate accounts
  • block fraudulent referrals
  • modify tracking methods

Any data uploaded or shared by the affiliate may be used for business and analytical purposes, in compliance with privacy norms.

4. PAYMENT / COMMISSION TERMS

4.1 Affiliate commission is calculated based on qualified referrals, leads or conversions.
4.2 Payment period: Within 30 days of verified referral activity.
4.3 Grab2Grow’s analytics & tracking data will be final for accounting.
4.4 Payments may be adjusted for returns, cancellations or invalid traffic.
4.5 Applicable government tax deductions will apply.

5. CAMPAIGN TERMS

5.1 Campaign instructions and requirements may be communicated through email or internal notifications.
5.2 Grab2Grow reserves the right to suspend or halt any Affiliate campaign at its discretion.

6. NON-EXCLUSIVITY

Your association with Grab2Grow is non-exclusive.
You may promote other platforms unless they violate conflict-of-interest terms.

7. REPRESENTATIONS & WARRANTIES

You certify that:
✔ You are legally allowed to participate as an Affiliate in India
✔ You will not use unethical or misleading marketing
✔ You will comply with all applicable laws
✔ You will not engage in spamming or abuse
✔ You will not misuse platform data
✔ You will not damage Grab2Grow reputation

8. CREATIVE RIGHTS

8.1 Promotional materials may be provided by Grab2Grow.
8.2 Grab2Grow grants limited rights for legal use of affiliate creatives.

Affiliates may not:
❌ edit logos
❌ distort branding
❌ remove copyright notices
❌ copy or plagiarize from protected sources

9. TRAFFIC & DELIVERY QUALITY

Grab2Grow may measure affiliate activity including clicks, conversions, source quality and fraud risk.

10. FRAUD

Strictly prohibited actions:
🚫 bot traffic
🚫 pay-to-click sites
🚫 misleading ads
🚫 fake signups
🚫 incentivised installs
🚫 cookie stuffing
🚫 self-referrals

Grab2Grow reserves the right to:

  • reject fraudulent commissions
  • blacklist the affiliate
  • take legal action

11. CANCELLED TRANSACTIONS

Refunded, failed, returned or cancelled orders do not qualify for commission.

12. MISREPRESENTATION

You agree not to:
❗ mislead customers
❗ make false claims
❗ imitate Grab2Grow staff
❗ impersonate any party

13. INDEMNITY

You agree to indemnify Grab2Grow from legal responsibility arising out of:

  • Affiliate misconduct
  • Fraud
  • Policy violation
  • IP breach

14. NON-SOLICITATION

You agree not to:
❗ directly approach Grab2Grow vendors
❗ attempt to poach business partners
❗ claim personal commercial relationships

15. UPDATES

Grab2Grow may update this Affiliate Agreement at any time.

16. RELATIONSHIP

You are an independent affiliate marketer and NOT an employee, agent, or legal representative of Grab2Grow.

17. GOVERNING LAW

This agreement is governed by Indian law.
Disputes fall under jurisdiction of courts located in Sitamarhi, Bihar.

19. CONFIDENTIALITY

You must not misuse:

  • private company information
  • internal data
  • market-sensitive strategy

21. NOTICES

Official communication may be sent to:

23. PUBLICITY

You must NOT falsely represent yourself as an official Grab2Grow partner or employee.

24. SEVERABILITY

If any part of this agreement becomes invalid, remaining sections stay enforceable.
